Terms of Service

1. Acceptance of Terms

By accessing or using the Sprintz platform ("Platform"), operated by ThryvX, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and ThryvX.

2. Definitions

• "Platform" refers to the Sprintz website, services, tools, and features operated by ThryvX.
• "Student" refers to any individual registered on Sprintz seeking project-based experience with startups or early-stage ventures.
• "Founder" refers to any individual or entity registered on Sprintz seeking to engage students for project-based work.
• "Experienship" refers to a structured, project-based engagement facilitated through the Platform between a Student and a Founder.
• "Credentials" refers to verified records of completed experienships issued by Sprintz, documenting scope, milestones, and outcomes.

3. Platform Role

Sprintz operates as a facilitator and coordinator. We connect Students with Founders and provide tools for structured collaboration, milestone tracking, and credential issuance. Sprintz is not an employer, staffing agency, recruiter, or contractor. We do not employ Students, nor do we act as an agent for either party. The relationship between a Student and a Founder is governed by their direct agreements and arrangements, and Sprintz is not a party to any such arrangement beyond its role as facilitator.

4. Eligibility

To use the Platform, you must be at least 18 years of age or the age of majority in your jurisdiction. Students must be currently enrolled in or recent graduates of an accredited educational institution. Founders must represent a legitimate business entity or venture. Sprintz reserves the right to verify eligibility and refuse access at its discretion.

5. User Conduct

By using the Platform, you agree not to:

• Provide false, misleading, or inaccurate information in your profile or submissions.
• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Harass, abuse, or harm other users of the Platform.
• Attempt to circumvent the Platform to engage directly with matched parties outside of Sprintz for the purpose of avoiding Platform processes.
• Interfere with or disrupt the operation of the Platform or its infrastructure.
• Scrape, harvest, or collect information from the Platform through automated means.

6. Experienship Terms

Experienships are structured engagements facilitated through Sprintz. The specific terms, scope, milestones, and expectations of each experienship are agreed upon between the Student and the Founder with coordination support from Sprintz. The Founder or their designated team is responsible for reviewing deliverables, providing feedback, and determining whether milestones have been satisfactorily met.

Either party may conclude an experienship in accordance with the agreed terms and any applicable notice period established at the outset of the engagement. Sprintz reserves the right to intervene in or terminate an experienship if it determines that a party has violated these Terms or engaged in conduct detrimental to the integrity of the Platform.

Completion of an experienship, as determined by milestone achievement and mutual confirmation, will result in the issuance of Sprintz Credentials to the Student.

7. Intellectual Property

Unless explicitly agreed otherwise in writing between the Student and the Founder, all work product, deliverables, and intellectual property created during an experienship belong to the Founder or their entity. Students acknowledge that their contributions during an experienship are made in the context of the Founder's project and that ownership of such contributions vests with the Founder.

Sprintz retains the right to reference completed experienships in credential records and platform materials, including anonymised or aggregated descriptions of project types, skills applied, and outcomes achieved. This right does not extend to any proprietary or confidential information belonging to either party.

8. Non-Disclosure Agreements

Sprintz facilitates the execution of non-disclosure agreements (NDAs) between Students and Founders prior to the commencement of an experienship. These NDAs are entered into directly between the Student and the Founder or their respective entity. Sprintz coordinates the process but is not a signatory or guarantor of these agreements. Any breach of an NDA is a matter between the parties to that agreement, and Sprintz shall not be held liable for any such breach.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sprintz and ThryvX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to:

• Disputes between Students and Founders.
• The quality, timeliness, or completeness of any work product or deliverable, which is monitored and reviewed directly by the Founder or their team.
• Any loss of data, revenue, or business opportunities.
• Any actions or omissions of any user of the Platform.
• Any outcomes or results of any experienship, including but not limited to employment opportunities, financial outcomes, or professional advancement.

Quality oversight and review of deliverables is the responsibility of the Founder or their designated team. Sprintz provides the coordination framework and milestone structure, but does not directly evaluate or guarantee the output of any experienship.

10. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sprintz does not warrant that the Platform will be uninterrupted, error-free, or secure. While Sprintz facilitates structured experienships, the assessment and acceptance of work is managed directly by the Founder or their team. Sprintz does not guarantee employment, compensation, or any specific professional outcome as a result of participation in any experienship.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sprintz, ThryvX, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your infringement of any rights of another party.

12. Termination

Sprintz reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, limitation of liability, disclaimers, and indemnification.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
